Terms & Conditions for SoulMeet

1. Acceptance of Terms

Welcome to SoulMeet ("Platform", "we", "us", "our"), operated by Spareon ("Company"), Cherukavu, Pulikkal P.O., Malappuram 673637, Kerala, India. By creating an account, accessing, or using SoulMeet, you ("User", "you") agree to be bound by these Terms & Conditions ("Terms"), our Privacy Policy, and our Refund Policy. If you do not agree, do not use the Platform.

2. Eligibility

You must be at least 18 years of age and legally competent to contract under the Indian Contract Act, 1872. By using SoulMeet you represent and warrant that you meet this requirement. We may terminate accounts we reasonably believe belong to minors.

3. Accounts & Registration

• You register using a valid mobile number (verified via OTP) or a Google account.
• You are responsible for maintaining the confidentiality of your account and for all activity under it.
• You agree to provide accurate information and keep it updated.
• One person may hold only one account. Creating multiple accounts to abuse promotions (e.g., welcome bonuses) is prohibited and may result in forfeiture and suspension.

4. Nature of the Service

SoulMeet connects Users ("Clients") with other Users ("Hosts"/"Listeners") for one-to-one voice and video calls and messaging. We are an intermediary providing technology to facilitate these interactions. We do not employ Hosts; Hosts are independent users. We do not guarantee the availability, conduct, or quality of any Host or Client.

5. Virtual Coins

SoulMeet uses a virtual in-app currency ("Coins"). Coins can be purchased with real money or received via promotions.

• Coins have no monetary value, are not legal tender, cannot be exchanged for cash, and are non-transferable except as expressly permitted (e.g., gifting a Host within the Platform).
• Coins are consumed on a per-second or per-action basis for calls, gifts, and other features at rates displayed in the app, which may change from time to time.
• Coins are licensed, not sold, to you and remain our property. We may expire, adjust, or revoke Coins obtained through error, fraud, chargeback, or violation of these Terms.
• Purchases of Coins are subject to our Refund Policy.

6. Host Earnings & Payouts

• Hosts may earn Coins/credits from calls and gifts, convertible to withdrawable earnings per the rates and rules shown in the app.
• Payouts are subject to identity verification, a minimum withdrawal threshold, applicable taxes (including TDS where required), and platform commission.
• We may withhold or reverse earnings linked to fraud, chargebacks, refunds, fake calls, or policy violations.
• Hosts are responsible for their own tax obligations on earnings.

7. Acceptable Use & Prohibited Conduct

You agree not to:

• Post, transmit, or solicit any nudity, sexually explicit, or pornographic content, or any content that is obscene, defamatory, harassing, hateful, or unlawful.
• Engage in solicitation of prostitution, human trafficking, or any illegal activity.
• Harass, threaten, stalk, impersonate, or abuse any person.
• Share another person's private information without consent.
• Record, screenshot, or redistribute calls or another User's images without consent.
• Use bots, scrapers, or automated means; exploit bugs; or manipulate Coins, ratings, or promotions.
• Attempt to move payments or communication off-platform to evade fees or safeguards.
• Infringe any intellectual property or third-party rights.
• Violation may result in immediate suspension or termination, Coin/earnings forfeiture, and referral to law enforcement.

8. Content & License

You retain ownership of content you submit (e.g., profile photo, messages) but grant Spareon a worldwide, royalty-free, non-exclusive license to host, use, and display it as needed to operate SoulMeet. You are solely responsible for your content and interactions.

9. Payments

Payments are processed by our third-party payment processor Cashfree Payments. We do not store your full card or banking details. By paying, you also agree to the processor's terms. You represent that any payment instrument you use is lawfully yours.

10. Suspension & Termination

We may suspend or terminate your account at any time, with or without notice, for any violation of these Terms or for conduct we deem harmful to other Users or the Platform. Upon termination, your right to use SoulMeet and any unused Coins ends, subject to applicable law and our Refund Policy.

11. Disclaimers

SoulMeet is provided "as is" and "as available." We disclaim all warranties to the maximum extent permitted by law. We do not control and are not responsible for the conduct of any User. Interactions with other Users are at your own risk.

12. Limitation of Liability

To the maximum extent permitted by law, Spareon's total aggregate liability arising out of or relating to SoulMeet shall not exceed the amount you paid to us in the three (3) months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

13. Indemnity

You agree to indemnify and hold harmless Spareon, its officers, and employees from any claims, damages, or expenses arising from your use of SoulMeet, your content, or your violation of these Terms or any law.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Subject to any applicable arbitration clause, courts at Malappuram, Kerala shall have exclusive jurisdiction.

15. Changes to Terms

We may modify these Terms at any time. Continued use after changes constitutes acceptance. Material changes will be notified in-app or by other reasonable means.
